AscentX Medical Announces Elimination of All Secured Long-Term Debt and New Global Licensing and Co-Development Strategies

Company working with a leading global law firm to support worldwide licensing and/or co-development initiatives intended to help fund U.S. regulatory development and create potential pathways for international commercialization

SAN DIEGO, California, 24th September, 2026 – AscentX Medical, Inc. (“AscentX” or the “Company”) today announced that the Company has eliminated $5.05 million of secured long-term debt, marking an important financial milestone, as it advances its US and global regulatory and commercialization strategy for its medical technology portfolio.

With the legacy debt eliminated, AscentX enters its next stage of development with a simplified capital structure and increased financial flexibility. The Company is now able to direct future capital toward advancing its technologies, regulatory programs and commercialization initiatives rather than toward expensive and stifling legacy debt service.

AscentX is working with a leading, global, life sciences law firm to assist the Company in developing and executing worldwide licensing and co-development strategies for its medical technology portfolio. These initiatives are intended to establish strategic relationships with qualified partners across international markets while generating capital and other resources to help fund the Company’s planned pursuit of U.S. Food and Drug Administration (FDA) clearance or approval, as applicable. AscentX is also considering offering a special preferred series to further assist in the execution of this strategy.

Global Licensing and Co-Development Strategies

AscentX’s global licensing and co-development strategies are expected to include opportunities involving its G-125, U-125 and F-40 technologies, targeting gastroesophageal reflux disease (GERD), stress urinary incontinence (SUI), and aesthetic medicine, respectively. The Company’s strategy targets strategic capital from licensing and co-development, for the continued advancement of its technologies and U.S. FDA clearance or approval, as applicable, potentially reducing the Company’s dependence on traditional equity financing.

Under these arrangements, global partners providing licensing and/or co-development capital may receive defined territorial rights to pursue local regulatory authorization and commercialization. These rights may be structured separately by product, indication, country or geographic region, allowing AscentX to develop a network of strategic partners.

Depending upon the applicable product and territory, potential licensing arrangements may include:

AscentX intends to retain appropriate control over its intellectual property, technology, manufacturing standards, brand, and regulatory documentation while providing licensees and co-developers with the contractual rights and the relevant technical, clinical, manufacturing, and regulatory information support necessary to pursue regulatory authorization and commercialization within their licensed territories.

U.S. Regulatory Pathway

AscentX plans to pursue U.S. FDA clearance or approval, as applicable, for programs within its medical technology portfolio, including solutions for gastroesophageal reflux disease (GERD), stress urinary incontinence (SUI), and aesthetic medicine. In parallel with its U.S. regulatory strategy, the Company intends to pursue licensing and/or co-development agreements with qualified strategic partners globally. The Company believes this approach has the potential to create a coordinated global development strategy in which global capital can help support AscentX’s U.S. regulatory program while global partners simultaneously pursue regulatory and commercialization pathways in territories outside the U.S.
